Terms of engagement.

Last updated 20 August 2026. These are the working terms TideRelay Technologies Limited uses unless a signed proposal says otherwise.

TideRelay Technologies Limited (“we”) provides website, app and software services from Port Harcourt, Nigeria. A project starts when you accept a written quote. Until then, scoping is free and nothing is owed.

Quotes

Prices on the site are starting floors, not a bid for your job. The quote we send you is the price for the scope written in it. If you later ask for something outside that scope, we price it separately and wait for your approval before building it.

Quotes are typically valid for 30 days.

Payment

Work is billed in milestones (commonly a deposit to start, a payment at design sign-off, and the balance at launch). Larger software projects may use more milestones. We do not start the next stage until the current milestone is paid.

What you provide

You provide content, brand files, access to domains or third-party accounts, and timely feedback. Delays on your side push the timeline out. We will say so rather than silently eat the calendar.

Ownership

You own the domain (it should be registered in your name), and you own the custom code and content we create for you once the project is paid in full. We may reuse generic techniques and internal tools that are not unique to your product. Third-party software (CMS, plugins, fonts, stock) stays under its own licences.

If you stop the project unpaid, we can withhold handover of unfinished work until the agreed milestones are settled.

Launch and hosting

Launch includes putting the site on the agreed infrastructure with SSL and a basic handover. Ongoing hosting, backups and updates are a separate care plan unless the quote says they are included. You may host elsewhere; we will hand over what you need.

Warranty

After launch we fix defects that are clearly bugs in our work, for a short warranty window stated in the quote (typically 14–30 days). New features, content changes and third-party outages are not warranty work.

Limitation

We are not liable for lost profits, lost data on systems we do not host, or third-party failures (payment gateways, registrars, Google, hosting we do not control). Our liability on a project is limited to the fees you paid us for that project.

Law

These terms are governed by the laws of the Federal Republic of Nigeria. Disputes should be raised with us first in writing.
